Terms of Service

The Service

Title Forge is a software platform for title production. The Service provides tools for managing title search orders, properties, documents, templates, vendors, customers, invoicing and related workflow, reporting and administrative functions. Title Forge is a software provider only. We do not perform title searches or examinations, we do not provide abstracting services, and we do not provide legal advice.

Accounts and Access

Access to the platform is provided through a company account established with Title Forge and through individual user accounts created under it. You agree to provide accurate and complete information when establishing an account and to keep that information current. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly at the address below if you become aware of any unauthorized use of your account. Accounts may only be used by the individual to whom they are issued, and access must stay within the number of users permitted by your subscription.

Subscriptions and Payment

Use of the platform requires a paid subscription. Fees, billing frequency and included features are those stated in your order or subscription agreement with Title Forge. Unless otherwise agreed in writing, subscriptions renew automatically at the end of each term, and fees are due in advance and are non-refundable except where required by law. Payments may be processed by a third-party payment processor. If your account becomes past due, we may suspend access to the Service until the balance is paid. We may change subscription pricing with notice, effective at your next renewal.

Your Data

As between you and Title Forge, you own the orders, documents, records and other content you submit to the Service ("Customer Data"). You grant us the right to host, process, transmit and display Customer Data as needed to provide the Service, to maintain and improve it, and to comply with law. You are responsible for the accuracy and lawfulness of the Customer Data you submit and for having the rights necessary to submit it. We maintain commercially reasonable administrative, technical and physical safeguards designed to protect Customer Data, as further described in our Privacy Policy. Upon termination of your subscription, we will make your Customer Data available for export for a reasonable period on request.

Acceptable Use

You agree not to misuse the Service. Among other things, you will not:

• Use the Service in violation of any applicable law or regulation, or to store or transmit content that is unlawful or infringes the rights of others.
• Attempt to gain unauthorized access to the Service, other accounts, or the data of other customers, or probe, scan or test the vulnerability of the Service without our written permission.
• Interfere with or disrupt the integrity or performance of the Service, including by introducing malicious code or placing an unreasonable load on our infrastructure.
• Copy, resell, sublicense, or make the Service available to any third party other than your authorized users, or use the Service to build a competing product.
• Reverse engineer, decompile or disassemble any part of the Service, except to the extent permitted by law.

Professional Responsibility

The Service organizes and presents information that you and your team enter or generate. The quality of any title search, report or other work product produced with the Service depends on the data, judgments and review supplied by you and your personnel. You remain solely responsible for your work product, for verifying the accuracy and completeness of search results and documents produced through the Service, and for complying with the professional, licensing and regulatory requirements that apply to your business.

Intellectual Property

The Service, including its software, design, templates, documentation and all related intellectual property, is owned by Title Forge, LLC and its licensors. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes during your subscription term. No other rights are granted. Feedback you provide about the Service may be used by us without restriction or obligation to you.

Third-Party Services

The Service integrates with third-party services, such as payment processing and identity providers, and may link to third-party websites. Those services are governed by their own terms and privacy policies, and we are not responsible for their content or practices. Your use of a third-party service is at your own discretion and risk.

Availability and Support

We work to keep the Service available and performing well, but the Service is provided over networks and infrastructure we do not fully control, and access may occasionally be interrupted for maintenance, updates or reasons beyond our control. We may modify features of the Service over time, and we will not materially reduce the core functionality of your subscription during a paid term.

Disclaimer of Warranties

The Service is provided "as is" and "as available." To the fullest extent permitted by law, Title Forge disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that any search result, report or other output produced through the Service is accurate or complete.

Limitation of Liability and Limitation on Damages

IN NO EVENT SHALL TITLE FORGE BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, LOSS OF GOODWILL, LOSS OF DATA OR USE, OR ANY BUSINESS INTERRUPTION OR DISRUPTION, INCURRED BY EITHER YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION SOUNDING IN CONTRACT, TORT, WARRANTY, FIDUCIARY DUTY, STATUTORY CLAIM UNDER ANY FEDERAL, STATE, LOCAL LAW OF THE UNITED STATES OR ANY OTHER JURISDICTION, OR ANY OTHER TYPE OF LEGAL CLAIM, EVEN IF THE OTHER PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

FURTHER, TITLE FORGE SHALL NOT BE RESPONSIBLE FOR ANY COMPENSATION, REIMBURSEMENT, LOSSES, COSTS OR DAMAGES ARISING IN CONNECTION WITH: (A) YOUR INABILITY TO USE THE SERVICE, INCLUDING AS A RESULT OF ANY (I) TERMINATION OR SUSPENSION OF THESE TERMS OR YOUR USE OF OR ACCESS TO THE SERVICE, (II) TITLE FORGE'S DISCONTINUATION OF ANY OR ALL ACCESS TO THE SERVICE, OR (III) ANY UNANTICIPATED OR UNSCHEDULED DOWNTIME OF ALL OR A PORTION OF THE ACCESS TO THE SERVICE FOR ANY REASON WHATSOEVER, INCLUDING AS A RESULT OF POWER OUTAGES, SYSTEM FAILURES OR OTHER INTERRUPTIONS; (B) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; (C) ANY INVESTMENTS, EXPENDITURES, OR COMMITMENTS BY YOU TO ANY THIRD PARTIES IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR ACCESS TO THE SERVICE; OR (D) ANY UNAUTHORIZED ACCESS TO, ALTERATION OF, OR THE DELETION, DESTRUCTION, DAMAGE, LOSS, DENIAL OF ACCESS, OR FAILURE TO MAINTAIN OR STORE ANY OF YOUR CONTENT OR OTHER DATA.

IN NO EVENT WILL THE COLLECTIVE LIABILITY OF TITLE FORGE AND TITLE FORGE'S AFFILIATES FOR ANY DAMAGES INCURRED BY YOU EVER EXCEED THE FEES RECEIVED BY TITLE FORGE FROM YOU DURING THE TWELVE MONTHS PRIOR TO THE TIME AT WHICH THE DAMAGES AROSE, REGARDLESS OF THE FORM OF ACTION, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, PRODUCTS LIABILITY OR OTHERWISE.

YOU ACKNOWLEDGE THAT THE FEES APPLICABLE FOR THE SERVICE REFLECT THE ALLOCATION OF RISK SET FORTH IN THESE TERMS AND THAT TITLE FORGE WOULD NOT HAVE PROVIDED THE SERVICE WITHOUT THE DISCLAIMERS OF WARRANTY AND LIMITATIONS OF BOTH LIABILITY AND DAMAGES SET FORTH IN THESE TERMS.

Indemnification

You agree to defend, indemnify and hold harmless Title Forge, LLC and its officers, members, employees and agents from and against any claims, damages, liabilities and expenses (including reasonable attorneys' fees) arising out of your Customer Data, your use of the Service in violation of these Terms or applicable law, or the work product you produce using the Service.

Termination

You may stop using the Service at any time; termination of a paid subscription is governed by your order or subscription agreement. We may suspend or terminate your access to the Service if you materially breach these Terms and do not cure the breach within a reasonable time after notice, or immediately for conduct that threatens the security or integrity of the Service. Sections of these Terms that by their nature should survive termination, including ownership, disclaimers, limitations of liability and indemnification, will survive.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will post the updated Terms on this page and update the effective date below. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Georgia, and you consent to the jurisdiction of those courts.
